An OPC should mention one person as ‘Nominee’ in the event of death, incapacity, etc. who will-
(a) become a member of OPC;
(b) be entitled to any or all shares of the OPC, and
(c) bear all liabilities of OPC. However, written consent of such candidate to act as nominee should be obtained and filed with the ROC at the time of incorporation together with MOA and AOA.
A nominee might withdraw his consent by giving a notice in writing to the only real member and to the OPC. the sole member then nominates another person as nominee within fifteen days of the receipt of the notice of withdrawal. Further, the OPC is needed to file with RoC:
(a) notice of such withdrawal of consent;
(b) name of the new person appointed by it (in kind No INC-4 along with the fee as provided within the corporations (Registration offices and fees) Rules, 2014), and
(c) written consent of the new person thus nominated (in formNo. INC.3).The on top of filing requirement has got to be fulfilled within thirty days of receipt of the notice of withdrawal of consent from the earlier candidate. Also, a nominee will be changed at any time by providing a notice to the ROC.
